Public Offer Agreement

1. General Provisions

1.1 PLAY GURU - FZCO (hereinafter referred to as the "Seller") publishes a public offer for the sale of digital goods presented on the Seller's official website https://playguru.store.

1.2 This document is a public offer, and if the terms outlined below are accepted, an individual who accepts this offer makes payment for the Goods in accordance with the terms of this Agreement. Payment by the Buyer for the Goods constitutes acceptance of the offer, which is considered equivalent to entering into an agreement on the terms set forth in this offer.

1.3 Based on the above, please carefully read the text of this public offer, and if you do not agree with any provision of this offer, you are encouraged to refrain from purchasing the Goods offered by the Seller.

1.4 In this offer, unless the context requires otherwise, the following terms have the following meanings:
Acceptance: Full and unconditional acceptance by the Buyer of the terms of the Agreement;
Offer: The Seller's public offer addressed to any individual (citizen) to enter into a purchase and sale agreement (hereinafter referred to as the "Agreement") under the existing terms contained in the Agreement;
Buyer: A visitor to the Website who is an individual who has entered into an Agreement with the Seller under the terms contained in the Agreement and who makes a purchase of Digital Goods;
Parties: The Seller and the Buyer together;
Website: The online platform located at the domain name https://playguru.store, representing an online store that contains the Seller's catalog of goods;
Digital Goods: A virtual product that is the subject of this Agreement and is in a completed form and ready for use;
Delivery: The Seller's delivery of digital goods presented on the Website via electronic communication channels to the email address specified by the Buyer in the Order;
Order: Specific items from the assortment of Digital Goods listed by the Buyer when placing an order for Digital Goods;
Cart: A virtual tool designed to facilitate the process of purchasing digital goods on the Website. The Cart groups all the goods that the Buyer intends to purchase.

2. Subject of the Agreement

2.1 The Seller sells Digital Goods in accordance with the current price list published in the Seller's online store at https://playguru.store, and the Buyer makes payment and accepts the Goods in accordance with the terms of this Agreement.

2.2 The Seller supplies Digital Goods exclusively in virtual form via email and does not send printed goods by mail.

2.3 This Agreement is an official document of the Seller.

3. Order Placement

3.1 The Buyer places an Order for the Goods by submitting a properly completed form during the payment process. All fields of the payment form must be filled out. If the necessary information is missing, preventing the identification of the Buyer and the delivery of the Goods, the Seller will not accept the Order.

3.2 When placing an Order, the Buyer is required to provide the following information:

ā€” Name;
ā€” Email address.

3.3 The Buyer consents to the processing of their personal data by the Seller, with or without the use of automation tools, for a period of one (1) year. This consent applies to the Buyer's name and email address provided when placing the Order. The consent is granted for the performance of any actions related to personal data that are necessary for the proper execution of this Agreement, including but not limited to: collection, systematization, accumulation, storage, updating, use, dissemination, blocking, and destruction, as well as any other actions with personal data in accordance with the applicable legislation.

3.4 Payment by the Buyer for the Order placed on the Website constitutes the Buyer's acceptance of the terms of this Agreement. The date of payment for the Order is considered the date of the conclusion of the Purchase and Sale Agreement between the Seller and the Buyer.

3.5 If the Buyer has any questions regarding the Goods before placing the Order, they must contact the Seller for consultation at the email address support@playguru.store.

4. Order Procedure, Conditions, and Terms for Delivery of Digital Goods

4.1 The Buyer places an Order for the Goods by submitting a properly completed form during the payment process. All fields of the payment form must be filled out. If the necessary information is missing, preventing the identification of the Buyer and the delivery of the Goods, the Seller will not accept the Order.

4.2 When placing an Order, the Buyer is required to provide the following information:

ā€” Email address.

4.3 The Buyer consents to the processing of their personal data by the Seller, with or without the use of automation tools, for a period of one (1) year. This consent applies to the Buyer's name and email address provided when placing the Order. The consent is granted for the performance of any actions related to personal data that are necessary for the proper execution of this Agreement, including but not limited to: collection, systematization, accumulation, storage, updating, use, dissemination, blocking, and destruction, as well as any other actions with personal data in accordance with the applicable legislation.

4.4 Payment by the Buyer for the Order placed on the Website constitutes the Buyer's acceptance of the terms of this Agreement. The date of payment for the Order is considered the date of the conclusion of the Purchase and Sale Agreement between the Seller and the Buyer.

4.5 If the Buyer has any questions regarding the Goods before placing the Order, they must contact the Seller for consultation at the email address support@playguru.store.

5. Prices and Payment Procedure

5.1 The assortment and prices of Digital Goods are freely available on the Seller's Website.

5.2 The cost of the Goods listed on the Website https://playguru.store may be changed by the Seller unilaterally at any time.

5.3 Payment for Digital Goods is made in a cashless manner using the available online Payment Form to the Seller's account.

5.4 The transfer of banking information is carried out in compliance with all necessary security measures and is ensured by the payment service, and has a compliance certificate with the international PCI DSS standard (payment card industry security). All operations with bank cards are carried out using 3-D Secure technology: this is a kind of double protection when the bank asks the user to confirm the payment with a special password, which can only be obtained by the cardholder.

5.5 Payment is made using credit cards from the following payment systems: Visa, Mastercard.

5.6 The Buyer's obligation to pay for the Goods is considered fulfilled when the funds are credited to the Seller's account.

6. Technical Characteristics of Digital Goods

6.1 Digital Goods are supplied in the following format: PDF format.

7. Rights and Obligations of the Parties

7.1 Buyer's Rights:

7.1.1 The Buyer has the right to receive the Digital Goods in accordance with its description in the product card.

7.1.2 When purchasing a Digital Product intended for subsequent personalization, the Buyer has the right to modify design templates, site settings, and others for their needs.

7.2 Buyer's Obligations:

7.2.1 The Buyer must pay for the Digital Goods in full before receiving the Digital Goods.

7.2.2 The Buyer must provide the Seller with all the necessary information for the preparation and delivery of personalized Digital Goods.

7.2.3 The Buyer undertakes to use the provided Digital Goods exclusively for personal purposes for an indefinite period and in any quantity and not to distribute the Digital Goods among other persons either free of charge or for sale. The Buyer agrees not to distribute copies of the Digital Goods on HDD, CD, or DVD media, or in printed form from an electronic copy.

7.3 Seller's Rights:

7.3.1 The Seller has the right not to deliver Digital Goods for which the Seller has not received full payment.

7.3.2 The Seller has the right to claim compensation for lost profits if it is discovered that the Buyer has transferred or resold the Digital Goods provided by the Seller to other persons free of charge or for sale.

7.4 Seller's Obligations:

7.4.1 The Seller must deliver the Digital Goods in the appropriate quality in accordance with the characteristics described in the product card.

8. Dispute Resolution Procedure. Return and Exchange of Digital Goods

8.1 By entering into this Agreement, the Seller and the Buyer agree to resolve disputes through negotiations.

8.2 Digital Goods are not subject to return.

8.3 Personalized Digital Goods, once delivered and accepted by the Buyer, are not subject to exchange or refund.

9. Warranty Conditions

9.1 The Seller guarantees the quality and correctness of the Digital Goods.

9.2 The Seller does not provide additional guarantees for the use of Digital Goods except those provided in the relevant legislation.

9.3 Any complaints regarding the quality of the Digital Goods should be sent to the Seller's support service at support@playguru.store.

10. Additional Provisions

10.1 All rights and obligations of the parties under this Agreement are subject to the applicable laws of the United Arab Emirates.

10.2 The Buyer confirms that they have fully read and agree with the terms of this Agreement before accepting it and paying for the Digital Goods.

10.3 The Seller reserves the right to make changes to this Agreement without prior notice to the Buyer.

10.4 The Agreement is effective from the moment the Buyer makes payment for the Digital Goods.

10.5 If any provision of this Agreement is found to be invalid, this shall not affect the validity of the remaining provisions of the Agreement.

10.6 The official language of this Agreement is English.
